The
Company will provide Preferential Consideration to its Share Holders
when developing an RTM Home sales force of Sales Staff
and Dealers (see Prospectus Item 50). This Preferential Consideration
will also extend to Share Holders wanting to make multiple RTM Home
purchases for the purpose of developing Real Estate.
Due
to an identified strong demand for RTM Homes, combined with limited
first year Production Capacity, the Company does
not expect to set up more than 3 or 4 Dealer Territories in 2007.
As long term growth objectives will be best served by working with
individual Customers either directly or through Dealers, the Company
will not pursue contracts with multiple RTM Home purchasers in its
first year either.
The
Preferential Consideration given will be a reduction or the elimination
of the Dealer Fee, and this will be determined
by the Company's independent Board of Directors based on the level
of the Share Holder's commitment, the market strength of the Territory,
and the significance of the Share Holder's business presence in
the intended Territory.
Dealers
will get Right of First Refusal for future Dealer
Territories as they become available. In addition Dealers will have
the option to develop their own Production Facilities under a Licensing
Agreement that would allow them to use the Company's Information
Technology and proprietary business operating software, and to market
under the American RTMs Brand.
Dealers
will also be offered a seat on the Company's Board of Directors
to allow them to have direct input into start up of production
facilities, the finalization of the Company's Dealer Program, and
RTM Show Home designs, specifications, and targeted selling prices.
Dealer
Territory will be an exclusive multi County area centered on the
area's major Trading Center
as shown on the Company's Territory Map. Communities being
targeted for Dealer Territories are Sidney-Williston, Glendive,
Miles City , Big Timber-Livingston, Lewistown, Havre, Great Falls
, Helena , and Missoula (if access is feasible).
